PUBLIC OFFER AGREEMENT

(NUMA online store)

1. General Provisions

1.1. This offer is an official proposal by the sole proprietor Popunets Oleg Gennadievich, hereinafter referred to as the "Seller", to conclude a distance sales contract, i.e., through the NUMA online store (hereinafter referred to as the "Contract"), and places this Public Offer (proposal) on the Seller's official website [specify domain] (hereinafter referred to as the "Website").

1.2. The moment of full and unconditional acceptance by the Buyer of the Seller's offer (acceptance) to conclude an electronic contract for the sale of goods is considered to be the fact of placing and/or paying for the order by the Buyer under the terms of this Agreement, within the timeframes and at the prices indicated on the Seller's website.

2. Concepts and Definitions

2.1. In this offer, the terms listed below have the following meanings:

• "Goods" – models, accessories, components and accompanying items;

• "Online store" – according to the Law of Ukraine "On Electronic Commerce", a means of presenting or selling goods, works or services through the conclusion of an electronic agreement;

• "Seller" – a sole proprietor who sells goods presented on the website;

• "Buyer" – an individual or legal entity that has entered into an Agreement with the Seller under the terms of this offer;

• "Order" – the selection of individual items from the list of goods specified by the Buyer when placing an order and making a payment.

3. Subject of the contract

3.1. The Seller undertakes to transfer ownership of the goods presented in the online store catalog to the Buyer, and the Buyer undertakes to accept and pay for such goods.

3.2. This Agreement governs the sale and purchase of goods in the online store, including: the Buyer's voluntary selection of goods, independent order placement, payment for the order by the Buyer, processing and delivery of the order to the Buyer.

4. Order placement procedure

4.1. The buyer has the right to place an order for any product presented on the Online Store Website and available for purchase.

4.2. Each item can be represented in the order in any quantity.

4.3. If the goods are not in stock, the Seller is obliged to inform the Buyer (by phone or email).

4.4. In the event of unavailability of the goods, the Buyer has the right to replace it with an equivalent, refuse the goods, or cancel the order.

5. Price and Payment Procedure

5.1. The price of the goods is determined at the time of placing the order.

5.2. Payment can be made in the following ways:

- cashless payment via payment systems;

- cash on delivery at the shipping company branch.

5.3. The Buyer's payment obligation is considered fulfilled from the moment the funds are credited to the Seller's account or transferred to the transport company.

6. Delivery and Transfer of Goods

6.1. Delivery is available throughout Ukraine and internationally, using the methods available on the website.

6.2. Along with the order, the Buyer will receive documents in accordance with the legislation of Ukraine.

6.3. The risk of accidental loss or damage to the goods passes to the Buyer from the moment the goods are handed over to the delivery service.

7. Rights and obligations of the parties

The seller has the right to:

- to change the terms of this offer unilaterally;

- unilaterally terminate the provision of services in case of violation of the terms of this agreement by the Buyer.

The seller undertakes to:

- provide accurate information about the product;

- deliver goods of proper quality;

- ensure the confidentiality of the Buyer's personal data.

The buyer undertakes to:

- provide accurate information when placing an order;

- pay for the order on time;

- accept the goods within the specified period.

The buyer has the right to:

- place an order in the online store;

- to demand that the Seller fulfill the terms of this Agreement.

8. Liability of the Parties

8.1. The Parties shall be liable for non-performance or improper performance of the terms of this Agreement in the manner provided for in this Agreement and in accordance with the current legislation of Ukraine.

8.2. The Seller is not liable for changes in the product's appearance made by the manufacturer, for minor color variations due to monitor settings, for delays and interruptions in delivery due to reasons beyond its control, for the actions of third parties (delivery services, payment systems), or for the content and accuracy of information provided by the Buyer.

8.3. The Buyer bears material liability for damages caused to the Seller or third parties in connection with a breach of the terms of this Agreement.

9. Privacy and Data Protection

9.1. Personal data is processed in accordance with the Law of Ukraine "On Protection of Personal Data" and the Law of Ukraine "On Electronic Commerce".

9.2. By accepting, the Buyer grants the Seller consent to the collection, processing, storage, and use of their personal data.

9.3. The Seller may send the Buyer informational and advertising materials. The Buyer may refuse to receive them at any time.

10. Force Majeure

10.1. The Parties are released from liability for partial or complete non-performance of obligations if this is a consequence of force majeure circumstances that arose after the conclusion of the Agreement and which the Parties could not foresee or prevent.

10.2. Force majeure circumstances include: military actions, mobilization, terrorist acts, mass unrest, natural disasters (fires, floods, earthquakes, epidemics, pandemics), changes in legislation, strikes, blockades, disruptions in the operation of transport and postal-logistics services, malfunctions of banking and payment systems, cyberattacks, large-scale power outages or internet outages.

10.3. The party affected by force majeure is obliged to notify the other party within 5 days and provide confirmation (a certificate from the Chamber of Commerce and Industry of Ukraine or another document).

10.4. Performance of obligations is suspended for the duration of force majeure and is resumed after its termination without the application of penalties.

10.5. If force majeure lasts for more than 1 month, each Party has the right to terminate the Agreement unilaterally.

10.6. The occurrence of force majeure does not relieve the Buyer of the obligation to pay for the goods already received.

11. Term of the agreement

11.1. The electronic contract is considered concluded from the moment of acceptance in accordance with Article 11 of the Law of Ukraine "On Electronic Commerce".

11.2. This agreement is valid until the parties have fully fulfilled their obligations and may be terminated prematurely by mutual agreement or unilaterally in cases provided for by law.
